These Terms and Conditions ("Terms") constitute a service agreement between the individual or entity making the booking ("Client") and:
•THE TRUSTEE FOR THE MARSHALL TRUST, trading as Deep Flow Consulting (ABN 31 497 267 702);
and
•JOSEPH SIMON GREEN, trading as verdé. Media & Advertising (ABN 26 123 831 921),
operating jointly as the Service Providers ("Service Providers") for the Express Personal Branding Shoot.
By selecting the Terms & Conditions acceptance checkbox before checkout, the Client acknowledges that they have read, understood and agreed to these Terms.
APPOINTMENTOne (1) hour total, comprising 15 minutes for arrival and a brief run-through, followed by 45 minutes of guided professional photography.
DELIVERABLESTen (10) professionally edited images in total, including two (2) hero retouched images, delivered within seven (7) business days of the Shoot Day.
PAYMENTTotal package price: $700 AUD. A 50% deposit of $350 AUD is payable at booking. The remaining $350 AUD will be invoiced seven (7) calendar days before the scheduled Shoot Day, with payment due no later than seven (7) calendar days before the Shoot Day.
1.1 The booking is strictly allocated to one (1) individual Client and includes: exclusive access to the designated studio or location for the scheduled session duration; professional photography services; up to two (2) outfit changes (looks); and up to two (2) pre-established studio lighting and backdrop setups.
The final deliverables comprise ten (10) professionally edited high-resolution images in total, including two (2) hero retouched images.
1.2 The Client must arrive fully styled (hair and makeup completed) and wearing their initial outfit, ready for photography at the scheduled start time. Small personal brand props (e.g., laptops, notebooks, beverage containers or small products) are permitted where practical within the allotted time.
2.1 This Express service package explicitly excludes: pre-shoot strategic consultations, custom shoot plans, run sheets, videography, raw or unedited files, client proof selection, extensive digital retouching or body altering, and hair or makeup services.
2.2 Additional talent, models or guests are not permitted to be photographed under this agreement. To ensure session focus and adhere to studio capacity and timeline constraints, third parties may not attend unless expressly pre-authorised in writing by the Service Providers.
3.1 Shoot Days operate on a strict, fixed schedule. The Client's appointment commences and concludes precisely at the agreed time. Late arrival by the Client will not extend the scheduled end time and may result in reduced photography duration, image count and variety.
3.2 Bookings are non-transferable to alternative dates or time slots due to Client tardiness or inability to attend, except as provided under Section 7 and subject to applicable consumer rights.
4.1 The Service Providers retain creative discretion over image selection, curation and post-production processing. The final deliverables comprise ten (10) professionally edited high-resolution images in total, including two (2) hero retouched images selected by the Service Providers.
4.2 The final delivery includes one (1) minor round of reasonable revisions submitted within seven (7) days of delivery. Major digital manipulations, background alterations or additional image requests will incur extra fees at standard commercial rates, subject to applicable consumer rights.
5.1 Digital deliverables will be transferred within seven (7) business days of the Shoot Day via a secure digital download link, subject to full receipt of payment.
5.2 Upon payment in full, the Client is granted a non-exclusive, perpetual, worldwide, royalty-free licence to use the delivered final images for personal and commercial purposes, including branding, marketing, websites, print, editorial, advertising and social media.
Copyright in the photographs remains with Joseph Simon Green, trading as verdé. Media & Advertising. RAW or unedited digital files will not be released.
5.3 Promotional use of the Client's images by Deep Flow Consulting or verdé. Media & Advertising for portfolios, websites, social media, advertising or other marketing purposes is permitted only where the Client has expressly opted in through the booking questionnaire.
Declining promotional consent will not affect the Client's booking or entitlement to the agreed deliverables.
6.1 The total package price is $700 AUD. A deposit of 50%, being $350 AUD, is required at the time of booking to secure the appointment.
The remaining balance of $350 AUD will be invoiced seven (7) calendar days before the scheduled Shoot Day and must be paid no later than seven (7) calendar days prior to the Shoot Day.
6.2 Failure to remit full payment by the due date entitles the Service Providers to cancel the reservation and reallocate the time slot, subject to applicable consumer rights. All figures are listed in Australian Dollars (AUD) and are inclusive of GST where applicable.
7.1 For cancellations requested within seventy-two (72) hours of the scheduled Shoot Day, fees paid are non-refundable for a change-of-mind cancellation or inability to attend, except where a refund or other remedy is required by law.
7.2 For cancellations submitted with more than seventy-two (72) hours' notice, the Client may request a refund or credit. For change-of-mind cancellations, a refund or credit will be offered if the Service Providers successfully rebook the vacated session slot, subject to applicable consumer rights.
Clients are encouraged to notify the Service Providers as early as possible to allow sufficient time to rebook the appointment.
7.3 If the Service Providers must cancel the session due to unforeseen force majeure events, severe illness or facility failure, the Service Providers will offer to reschedule or provide a full refund of all monies paid for the affected service.
7.4 Nothing in this section limits any refund, cancellation or other remedy to which the Client is entitled under Australian Consumer Law.
8.1 The Client is responsible for: punctual arrival; ensuring personal presentation meets their standards; providing correct billing and contact details; complying with studio rules and safety instructions; and submitting any inspirational reference materials or mood boards prior to the Shoot Day.
8.2 Inspiration materials serve as a creative reference only and do not guarantee exact replication of poses, framing, lighting or backdrops.
9.1 The Service Providers will exercise reasonable professional skill, care and diligence. However, photography is a creative and subjective discipline, and specific aesthetic outcomes cannot be guaranteed.
9.2 In the event of technical failure, equipment malfunction, media corruption or loss of digital files beyond reasonable control, the Service Providers may offer a complimentary re-shoot session or a full refund of fees paid for the affected session, without limiting any remedies required by law.
9.3 Nothing in these Terms excludes, restricts or modifies any consumer guarantees or consumer rights under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, that cannot lawfully be excluded.
10.1 In the event of a dispute, the parties agree to make genuine, good-faith efforts to resolve the matter informally prior to initiating legal proceedings.
10.2 These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia, subject to any applicable mandatory legal rights.
11.1 The Client accepts these Terms electronically by selecting the Terms & Conditions acceptance checkbox before proceeding to checkout.
By ticking the checkbox, the Client confirms that they have read, understood and agreed to these Terms & Conditions before completing their booking.
11.2 Booking confirmation and payment information will be provided through the Shopify booking and checkout process.
